As used in these Website Terms and Conditions, “Imerale” or "our" refers to the company Imerale SAS, registered in France with the Chamber of Commerce under registration number 952739183 with registered office at 231 Rue Saint Honoré, 75001 Paris, its owners, directors, investors, employees.
• Please read these Terms carefully as they define your rights and obligations to Imerale when using the Imerale Website. These Terms should not be considered an agreement which specify contractual obligations for the provision of Imerale Services. They also do not alter any other agreement you may have with Imerale. By using this website or registering your information in the Imerale website, you are agreeing to accept and comply with the Imerale Terms and Conditions stated below.   • The Imerale Services means the services delivered by Imerale:
    • (together: “Imerale Services”)
    • To offer a platform for customer risk management.
    • A case management, risk management and ongoing due diligence platform.
    • To connect to the relevant APIs for verification purposes.
    • A data retrieval platform for identification purposes.
    • As may be distributed and made available through Imerale Services.
  • The above definitions are used in both singular and plural in these Website Terms.
  • Please read these Website Terms carefully before accessing or using the site or any content on the site. By accessing the site or any content on the site, you agree to become bound by these Website Terms.
• Use Website
  • The User must comply with French law and other applicable laws or regulations when using the Website.
  • The User may not distribute the following via the Website:
    • Plagiarism and/or previously published content.
    • Pornographic films, images or other media with an erotic content.
    • Texts or images that are offensive, racist, discriminatory or hateful.
    • Unsolicited advertising (spam).
    • Incorrect or misleading information; and/or
    • Viruses, malware, spyware or other software intended to cause damage to our or other Users' computers.
  • The User may not approach other Users for commercial purposes other than those for which the Website is intended.
  • If the User wishes to report another User who is abusing the Website, the User can send a message to contact@imerale.com.
  • Imerale reserves the right to modify or omit the information provided to the User before it is made known to Users and/or published on the Website.
• Intellectual property rights
  • All intellectual property rights related to Imerale Services, including software, content, and trademarks, are owned by or licensed to Imerale. Imerale grants you a revocable right to use the Imerale Services for your personal (non-commercial) use in accordance with these Website Terms.
  • You may not modify, create derivative works from, decompile, or otherwise obtain or modify the source code of the Website, except as expressly permitted by an open source license or expressly authorized in writing. Any attempt to do so is a violation of Imerale 's rights.
  • The Imerale name and logo are trademarks of Imerale, and may not be copied, imitated or used in whole or in part without the prior written permission of Imerale. In addition, Imerale headlines, images, button icons and scripts, service marks, trademarks and/or logos may not be copied, imitated or used without the prior written consent of Imerale.

  • You will comply with all technology control or export laws and regulations that apply to the technology used or supported by the Imerale Services.
• Complaints
  • If the User wishes to report a complaint with Imerale, the User can send an e-mail to contact@imerale.com with details of the complaint.
  • Complaints to Imerale will be answered within a period of 14 days, calculated from the date of receipt.
• Engagement of third parties
  • Imerale is entitled, where necessary, to engage third parties in the performance of the services. Imerale is not obliged to inform the User about this. Using the services of Imerale implies that the User authorises Imerale to also accept any liability limitations of third parties on behalf of the User.
  • Imerale takes the utmost care when engaging third parties. However, Imerale is not liable for the acts or omissions of these engaged third parties, unless there is intent or gross negligence on the part of Imerale.
• Data Protection
  • Any personal information you supply to Imerale (and which Imerale collects from you or other sources) will be used by Imerale and held securely by Imerale in accordance with our Privacy Policy. Your use of our Website is subject to our Privacy Policy, which outlines how Imerale collect, use, and protect your personal information. By using our service, you consent to our data practices as described in the Privacy Policy.
• Invalidity

  • Imerale is not liable for damage that is or may be the result of any act or omission based on the information on the Website or that of:
    • Linked websites, even if there are imperfections; and/or
      • Inaccuracies in the information made available by us.
  • Imerale is not responsible for errors and/or irregularities in the functionality of the Website and is not liable for malfunctions or the Website being unavailable for any length of time due to other reasons.
  • Imerale only supplies the Imerale Services for domestic/personal use. You may not use the Imerale Services for commercial, business or resale purposes, and Imerale has no liability to you for any loss of profit, loss of revenue, loss of business, business interruption, or loss of business opportunity. Imerale also has no liability to you for any damage or alteration to your equipment including your devices as a result of use of the Imerale Services.
  • Imerale takes all care that can reasonably be expected from Imerale for the security of data of Users and third parties. Imerale is not liable for loss of data or unauthorised access to data that occurs despite the care taken by Imerale.
  • In addition, Imerale is not liable for loss of data or unauthorised access that arises during the transmission of data over public networks or when using networks and systems of third parties.
• Acceptable use restrictions
  • You must not:
    • Use the Imerale Services for any unlawful, harmful, or abusive purposes. This includes, but is not limited to, transmitting harmful code, engaging in fraudulent activities, or violating the privacy of others.
    • Use the Imerale Services in any unlawful way or in breach of these Website Terms, or act fraudulently or maliciously.
    • Allow any other person to use the Imerale Services made available to you.
    • Infringe intellectual property rights in relation to the Imerale Services, or your use of it.
    • Use the Imerale Services in a way that could damage, disable, overburden, impair or compromise our systems or security or interfere with other persons (for example, Imerale expect fair levels of use and would not expect you to make a large number of manual requests); or

• Applicable law and choice of forum
  • All Agreements, these Website Terms, and all non-contractual rights and obligations arising therefrom shall be governed in all respects by French law.
  • All disputes between and the Other Party, which may arise as a result of an Agreement and/or these Website Terms, or of agreements resulting therefrom, will in the first instance be settled by the competent court of the Paris District Court.
